The Teva Ukraine company is the part of the Teva Corporation, the leading international pharmaceutical company specializing in the development, manufacture and marketing of generic and original medicines.
The Antimonopoly Committee of Ukraine gave the permission for concerted action in the form of fulfillment of the conditions contained in Articles 9.6 and 9.12 of the General sale and purchase agreement dated July 26, 2015 and paragraph 5 of the supplement to the contract, concluded between the Teva Pharmaceutical Industries Ltd. company (Petah- Tikva, Israel) and the Allergan plc (Dublin, Ireland), namely in the form of the parties’ obligations with respect of non-confidential information for a period of 5 years, the ban on poaching employees for a period of 1 year, refraining from competition for a period of 5 years.
The relevant order of the regulator published on the AMC website on March 25, 2016.
The Committee also gave the approval to the Israeli pharmaceutical manufacturer to acquire the shares of a number of companies, and that provides the 50% excess of votes in the supreme governing body of each of them.
Besides, Teva received the permission from the Antimonopoly Committee of Ukraine for the acquisition of control over the part of the Allergan plc company (Dublin, Ireland) through the purchase of assets that ensure the implementation of economic activities in the production, distribution and sale of generic drugs and some non-prescription drugs.
It will be recalled, that in February the AMC conducted a public opinion about the impact on the Ukrainian pharmaceutical market by buying Teva Allergan units.
